Terms
An agreement between you and TwelfthKey for the use of Counsel. Using the software means accepting them. They are written to be read; where something is a real limitation, it says so rather than burying it.
Who you are agreeing with
TwelfthKey (OPC) Private Limited, an Indian company registered at 6/1704 DB Ozone, Ketkipada, Dahisar East, Mumbai 400068, Maharashtra, India. CIN U70200MH2026OPC465581, GSTIN 27AAMCT6921E1Z5. “Counsel” means the software at counsel.twelfthkey.com.
Counsel does not require an age declaration, identity document or guardian verification to enter. Sign-in, account permissions and paid-feature requirements still apply. Children should use the service with guidance from a parent or trusted adult. AI can make mistakes and is not a substitute for professional or emergency help.
What Counsel is
A record of your client relationships, kept from your calendar. It reads the events you have already agreed to, works out who your clients are and how often you normally speak to them, and tells you when one has gone quieter than its own rhythm. You tell it what you promised; it watches for whether that happened.
What Counsel is not, and what it gets wrong
Counsel is a language model. It infers, and it misreads. Where it has inferred something rather than been told, the interface marks it, and one tap corrects it. These terms say the same thing the product says, because it would be strange for them to disagree.
Specifically: which people are a client, how often you usually meet them, and whether a relationship has gone quiet are all worked out from patterns in a calendar. They can be wrong. A meeting with two clients on the invitation is attributed to one of them or to neither. A consultant with a quiet fortnight will see less than one with a busy one, and that is a fact about the calendar rather than about the relationships.
Counsel is not advice. It is not legal, financial, tax or investment advice, and nothing it writes should be relied on as any of those. The decisions about your practice and your clients remain yours.
Your account
You are responsible for what happens under your sign-in and for the accuracy of what you enter. Sign-in is through Google; keeping that account secure is between you and Google.
A seat is one person. One email address holds one seat, across every account. Sessions are limited to three at a time per seat — signing in on a fourth device signs out the oldest.
You must have the right to connect the calendar you connect, and to hold the information about the people on it. Counsel processes it on your instructions.
What you may not do
Resell or rebrand Counsel; share one seat between people; attempt to reach another account’s data; probe or interfere with the service; or use it to build a competing product. Nothing here stops you exporting or using your own data however you like.
What it costs
The free Everyday knowledge preview uses stored guidance, scenarios and calculations. AI analysis and live-source work require a paid plan. Advisory requires a paid Advisory subscription.
Current Everyday and Advisory offers, including monthly and annual totals, are shown on the plans page and reviewed before payment. Teams and Enterprise are offered by enquiry.
Displayed prices include GST at 18%. No further GST is added to the reviewed total at checkout. Invoices separate the base amount and tax. GSTIN is optional for consumers and can be supplied with billing details for business invoices.
Subscriptions renew on the monthly or annual period selected at purchase until cancelled. Annual offers charge the full annual total upfront; capacity renews monthly. Earlier subscription contracts retain their purchased price and terms.
Allowances, and what is never limited
New subscriptions include operation-weighted Counsel Capacity shared across the experiences permitted by the plan. Requests must fit the rolling five-hour, 24-hour, seven-day and monthly limits. Earlier contracts retain their agreed allowances. New top-up packs are not sold. Historical balances retain the terms under which they were granted.
Your dashboard, client health, cadence, the record of every meeting and commitment, and your export are never limited by an allowance, never paused for non-payment, and available on every plan. A limit reached is a limit on what Counsel writes for you, never on what it knows.
Cancelling, and not paying
Cancel any time from settings. The paid plan runs to the end of the period you have already paid for and then the account returns to free — which keeps everything. Cancelling deletes nothing. See the refund policy.
If a payment fails, nothing is switched off. You get two emails over ten days, the second naming the date, and there is no late fee. If it is still unpaid after ten days the mandate closes and the account returns to free, with every meeting, client and commitment intact.
Ending it from our side
We may suspend or close an account that is being used to break these terms or the law, or that is damaging the service for others. Except where the law or an immediate risk prevents it, we will say why and give you a chance to export first.
If Counsel is discontinued, account holders get at least 60 days’ notice and the export keeps working throughout.
Availability
Counsel is offered as it is, without a guaranteed level of availability. It depends on Google, Neon, Vercel, Anthropic, Resend and Razorpay, and an outage at any of them can stop part of it working. We do not promise it will be uninterrupted or error-free.
Liability
Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot be limited under Indian law.
Otherwise: neither party is liable for indirect or consequential loss, for lost profits, or for lost business or opportunity. Our total liability arising out of these terms is limited to the amount you paid in the twelve months before the claim, and on the free plan to ₹1,000.
In particular, Counsel is not liable for a decision you took, or did not take, because of something it inferred. It tells you what it counted; what to do about a client is your judgement.
Your data
You keep everything you put in and everything derived from your calendar. We claim no ownership of it and do not sell it. What we may do with it is set out in the privacy policy, and for a firm’s clients’ data in the data processing agreement.
Changes to these terms
Material changes are notified by email at least 30 days before they take effect. Continuing to use Counsel after that means accepting them; if you would rather not, cancel and export.
Law, and disagreements
These terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction.
Before going to court, please write to counsel@twelfthkey.com. Most things are a misunderstanding about what Counsel counted, and those are quicker to settle in an email.
